1. Acceptance of Terms
By downloading, installing, or using OmniRef ("the App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App. These terms constitute a legally binding agreement between you and Cynfi LLC ("Cynfi," "we," "us," or "our").
2. Description of Service
OmniRef is a countdown clock for sports officials and clock operators, for Apple Watch and iPhone. It runs play clocks, shot clocks, timeouts and a halftime clock, and signals key moments with haptics on Apple Watch and on-screen cues on iPhone. On Apple Watch it also records each game as a workout in Apple Health. The App stores its settings locally on your device.
OmniRef is not an official timing device. It does not replace a game's official clock, scoreboard, shot clock or timer, and it is not certified, approved or recognized by any sports governing body, league, association or officiating organization.
3. License
Cynfi grants you a limited, non-exclusive, non-transferable, revocable license to use OmniRef on devices you own or control, including while officiating or operating a clock in games for which you are paid. You may not copy, modify, distribute, sell, or lease any part of the App, nor may you reverse engineer or attempt to extract its source code.
4. Purchases
OmniRef is distributed through Apple's App Store. Any purchase is processed by Apple under Apple's terms and payment methods. Cynfi LLC does not handle or receive your payment details. Refunds are handled by Apple, not by us; requests should go through Apple's usual refund process.
A purchase is tied to the Apple Account that made it, and the App can be reinstalled on your devices with that account without buying it again. The iPhone and Apple Watch apps are a single purchase.
5. Timing, Haptics and Officiating
This is the most important section of these Terms. Please read it carefully.
OmniRef relies on your device's clock, its haptic engine, and the operating system to keep it running and to deliver alerts. Many things outside the App's control can delay, weaken or prevent a countdown or an alert, including: a low or depleted battery; Low Power Mode; Always On, Silent Mode, sound or haptic settings; the system suspending the App or ending its workout session; an incoming call or notification; a watch worn loosely or haptics not felt through movement, clothing or gloves; device or software faults; and ordinary software error.
Cynfi makes no warranty that any countdown is accurate, or that any haptic, buzz, on-screen cue or other alert will be delivered, delivered on time, or noticed. A clock may start late, run late, stop, restart or reset unexpectedly; an alert may be missed entirely.
You are solely responsible for timing, for every officiating decision, and for knowing and applying the rules of the game, league and level you are working, including when a play clock, shot clock or timeout begins and ends and when a whistle, horn or signal is due. OmniRef is an aid to your own judgment and timekeeping, not a replacement for them. Where a game has an official clock or timer, that clock governs.
Cynfi LLC is not responsible or liable for any missed, late or incorrect signal, horn or whistle; any penalty assessed or not assessed; any delay-of-game, shot-clock, timeout or other ruling; any game outcome; any dispute with players, coaches, teams, leagues, assignors or officiating organizations; any effect on your evaluations, ratings, assignments or standing as an official; or any other consequence whatsoever arising from your reliance on the App or on anything it displays or signals. This applies regardless of the cause, including defects in the App itself.
6. Your Responsibilities
You agree to use the App only for lawful purposes and in accordance with these Terms. You are responsible for complying with the rules of any league, association, venue or officiating organization you work for, including any restriction on wearing or using a watch, phone or other electronic device during play. It is your responsibility, not Cynfi's, to know and follow those rules.
Keep your attention on the game and on player safety. Do not let using the App distract you from your duties.
7. Data and Privacy
OmniRef collects no personal information and makes no network connections. Workouts it records are saved to Apple Health on your devices and are never sent to Cynfi. See our Privacy Policy for full details.
8. Workouts and Health Data
On Apple Watch, OmniRef records each game as a workout in Apple Health, which requires Health permission. The running workout is also what keeps the clock and its haptics working with your wrist down. You may decline or revoke the permission at any time in your device settings; the App will still work as a clock, but will not record workouts and the clock may stop running when you lower your wrist. Cynfi is not responsible for clocks, alerts or workouts affected by permissions or settings you have changed, or by the system ending the workout.
Workout figures are estimates. Heart rate, active energy and distance come from your watch's sensors and Apple's estimates, without GPS, and may be inaccurate or incomplete. A workout may fail to start, be cut short, or not be saved. OmniRef is not a medical device and its workout data is not intended for medical use, diagnosis or treatment. Consult a medical professional before relying on fitness data for health decisions.
9. Intellectual Property
OmniRef, the Cynfi name, and all associated logos, designs, and content are the intellectual property of Cynfi LLC. All rights are reserved. Nothing in these Terms grants you any rights to use Cynfi's trademarks, logos, or branding.
OmniRef is not affiliated with, endorsed by, or sponsored by any sports league, association, governing body, rules publisher or officiating organization. References to sports, rules, timing conventions or organizations describe how the App can be used and imply no affiliation.
10. Disclaimer of Warranties
OmniRef is provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Cynfi does not warrant that the App will be uninterrupted, error-free, or free from defects. Your use of the App is at your sole risk.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Cynfi LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost fees, lost assignments, lost income, lost opportunity, or lost time, arising from your use of or inability to use OmniRef, or from any error, delay, omission, or inaccuracy in any countdown, alert, or anything else the App displays or signals — even if Cynfi has been advised of the possibility of such damages.
Without limiting the foregoing, Cynfi is not liable for anything you rely on the App to do. Cynfi's total aggregate liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App, which for a free download is zero dollars ($0.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Ohio.
13. Changes to Terms
Cynfi reserves the right to modify these Terms at any time. We will update the "Last Updated" date when changes are made. Continued use of the App after changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Termination
You may stop using OmniRef at any time by deleting the App from your devices. Cynfi reserves the right to discontinue the App or any feature at any time without notice.
